Please read these terms carefully before using our services. By using Florida Business Formation Center, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using the services offered by Florida Business Formation Center ("Company," "we," "us," or "our") through mybusinessformation.com, you ("Client" or "you") agree to be fully bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services.

Florida Business Formation Center is a document preparation and filing service. We do not provide legal, tax, or financial advice. Use of our services does not create an attorney-client relationship.

We reserve the right to modify these Terms at any time. Your continued use of our services after any modification constitutes acceptance of the revised Terms.

2. Description of Services

Florida Business Formation Center provides document preparation and filing services, including but not limited to:

  • LLC and Corporation formation filing with the Florida Division of Corporations
  • EIN (Employer Identification Number) application assistance
  • Operating Agreement preparation
  • Registered Agent service
  • ITIN application assistance
  • DBA / Fictitious Name registration
  • Articles of Amendment preparation and filing
  • Annual Report filing assistance

3. Client Responsibilities & Authorization

By using our services, you represent and warrant that all information you provide is accurate, complete, and truthful. You are solely responsible for providing accurate information. Florida Business Formation Center is not liable for rejection, delay, or additional fees resulting from inaccurate or incomplete information provided by you.

You must be at least 18 years of age and have the legal authority to enter into this agreement. The business you are forming must be used only for lawful purposes permitted under Florida law.

By submitting your order and completing payment, you expressly authorize Florida Business Formation Center to prepare and submit on your behalf the formation documents, applications, and filings included in your selected package, including but not limited to Articles of Organization or Incorporation with the Florida Division of Corporations, EIN applications with the IRS, and any other documents necessary to fulfill your order. This authorization remains in effect until the ordered services have been fulfilled or you notify us in writing to cancel prior to any submission.

4. Fees & Payments

4.1 Service Fees

Our service fees are clearly displayed during the order process. Current pricing: Basic $49, Standard $149, Premium $249. Add-on service fees vary and are disclosed at the time of selection.

4.2 Florida State Filing Fees

Florida state filing fees are separate from our service fees and are paid directly to the State of Florida. Current state fees: LLC formation $125, Corporation formation $70. These fees are subject to change by the State of Florida without notice.

No Refunds on State Fees: Florida state filing fees paid to the Division of Corporations are non-refundable once submitted.

4.3 Service Fee Refunds

Service fee refunds may be requested within 24 hours of order placement and before any filing has been initiated. Once documents have been prepared or submitted, no refund will be issued. All refund requests must be submitted in writing to [email protected].

5. Processing Times

Processing times are estimates only and are not guaranteed. Standard filing typically takes 7–10 business days after submission to the Florida Division of Corporations. Expedited filing typically takes 1–3 business days. These timeframes are subject to the Florida Division of Corporations’ current processing volume and are beyond our control.

6. Indemnification

You agree to indemnify, defend, and hold harmless Florida Business Formation Center and its officers, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of our services; (b) any information you provide that is inaccurate, incomplete, or misleading; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party. This indemnification obligation survives the termination of these Terms.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Florida Business Formation Center shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if advised of the possibility of such damages. Our total aggregate liability for any and all claims arising out of or related to these Terms or your use of our services shall not exceed one hundred fifty dollars ($150.00) or the total amount of fees paid by you in the three (3) months preceding the claim, whichever is less.

9. Dispute Resolution & Arbitration

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of our services shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. YOU AND FLORIDA BUSINESS FORMATION CENTER EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS ARBITRATION. All claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights. The arbitration shall take place in the State of Florida, or via video conference at the option of either party.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration under Section 9, such dispute shall be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida, and you consent to personal jurisdiction in such courts.

11. Information Submission Deadline

To begin processing your order, you must provide all required information within five (5) business days of completing your purchase. This includes personal details, SSN/ITIN, business information, formation documents, or any other documentation we request in connection with your selected package. If the required information is not received within this period, we cannot guarantee processing timelines and Florida Business Formation Center shall bear no responsibility for resulting delays. You will receive reminder notifications every three (3) days until all required information has been submitted.

12. Right to Refuse or Terminate Service

Florida Business Formation Center reserves the right to refuse, suspend, or terminate service to any person or entity at our sole discretion and at any time, without prior notice. Grounds for termination include, but are not limited to, providing false or misleading information, violating these Terms, or engaging in conduct that we determine to be harmful, fraudulent, or unlawful. If a service is cancelled before any work has begun, we will evaluate refund eligibility on a case-by-case basis consistent with our refund policy.

13. Third-Party Systems & Tools

Certain aspects of our services depend on systems and platforms operated by third parties, including but not limited to the Florida Division of Corporations (Sunbiz), the IRS online portal, and Stripe for payment processing. We have no control over these external systems and are not responsible for any delays, errors, outages, processing backlogs, or rejections caused by them. Delays attributable to government agencies or third-party platforms do not entitle you to a refund or cancellation of services. Your use of any third-party platform in connection with our services is subject to that platform’s own terms, conditions, and privacy policies.

14. Assignment of Rights

You may not assign, transfer, or delegate any of your rights or obligations under these Terms to any third party without our prior written consent. Any attempted assignment without such consent shall be null and void. Florida Business Formation Center reserves the right to assign or transfer its rights and obligations under these Terms to any affiliate, successor entity, or third party, provided that such transfer does not materially diminish your rights as a client.
